Danantara Takes Over Pertamina’s Hospital Business

Danantara Asset Management is set to take over the majority stake of Pertamina Medika as part of the efforts to simplify state-owned businesses by Danantara.

 

Bisnis.com, JAKARTA – The efforts to simplify state-owned businesses under the sovereign wealth fund Daya Anagata Nusantara (BPI Danantara) continue. The SWF, through PT Danantara Asset Management, announced the plan to take over the hospital subsidiary of PT Pertamina (Persero), which is managed by PT Pertamina Bina Medika IHC.

In an announcement on Wednesday (19/11), Danantara said it will take over the majority stake of Pertamina Medika.

The completion of this proposed takeover will involve signing the transaction documents relating to the proposed transaction, fulfilling the requirements stipulated in the relevant transaction documents, and obtaining the necessary approvals based on applicable regulations, including internal regulations and applicable laws.

“The plan referred to in this announcement constitutes a takeover as referred to in Article 127 paragraph (8) of the Company Law,” wrote Pertamina Medika management.

It was also explained that, in accordance with Article 127 paragraph (4) of the Company Law, creditors who have objections regarding the proposed takeover as mentioned above may submit written objections to the Company no later than 14 calendar days after the announcement date.

Meanwhile, according to Pertamina Medika’s website, this entity is a state-owned hospital conglomerate consolidated into Pertamina. Currently, Pertamedika’s shareholders include Pertamina, Pertamina Pedeve Indonesia, PT Krakatau Steel (Persero) Tbk, PT Krakatau Industrial Estate Cilegon, PT Krakatau Bandar Samudera, PT Pelabuhan Indonesia III, PT Timah Tbk, PT Pelabuhan Indonesia, and PT Perkebunan Nusantara X, XI, and XII.

This hospital network operates the largest network in Indonesia with 72 hospitals and 58 clinics, supported by telehealth services and integrated laboratories.
