Danantara Acquires Mandiri Manajemen Investasi from Bank Mandiri, Worth Rp1.02t

KONTAN.CO.ID – JAKARTA. PT Bank Mandiri Tbk (BMRI) has transferred its asset management subsidiary to PT Danantara Asset Management. The transaction signed on April 1, 2026, officially transferring the ownership of PT Mandiri Manajemen Investasi (MMI) to Danantara.

“On April 1, 2026, a Conditional Share Sale and Purchase Agreement (CSPA) was executed which regulates the proposed transfer of 1,499 shares owned by Mandiri Sekuritas and 1 share owned by Mandiri MCO to DAM. The completion of the Affiliated Transaction is subject to the fulfillment of the conditions set forth in the CSPA, including obtaining the required approvals in accordance with the prevailing laws and regulations,” a disclosure to the Indonesia Stock Exchange on Thursday (2/4/2026), read.

The agreed amount for the proposed transaction was Rp1.025 trillion, or equivalent to 0.32% of the company’s equity. That is far below 20% of material transaction threshold.

According to both companies’ financial statements as of end-October 2025, MMI’s total assets was only 0.02% of Bank Mandiri’s assets and its subsidiaries’. Meanwhile, MMI’s net profit during the period was only 0.08% of Bank Mandiri’s consolidated net profit and MMI’s operating revenue was 0.32% of Bank Mandiri’s consolidated operating revenue. Therefore, the transfer of MMI shares does not constitute a material transaction and does not require approval from the General Meeting of Shareholders.

Bank Mandiri (BMRI) shares dropped 1.48% and traded at Rp4,650 apiece on Thursday (2/4/2026). During the week, BMRI shares have fallen by 3.93%. The transfer of PT Mandiri Manajemen Investasi shares is part of Danantara’s plan to merge the state-owned company’s asset management business units.
